This document, terms and contract between us and the purchaser is in the English Language.

The document hold the details about  European Solutions Group; European Waste Solutions; European Drainage Solutions & European Facilities Management Privacy Policy, Terms of Website Use and the legal terms and conditions when we provide our services to you. The details of the service will be provided to you when you have purchased and agreed for works to be carried out.

You must ensure that you read through the Terms in this document carefully, to make sure that you have a fair understanding of everything illustrated. The terms stated in this document will apply to any contract between European Solutions Group; European Waste Solutions; European Drainage Solutions & European Facilities Management, the supplier and the supply of services to you. This will presented to you at the purchase of a service, please note that you will be asked to agree to these terms before proceeding. If you refuse the terms in this document, the requested services will not be carried out. We recommend that you keep a copy of this document for any future reference.

This document will, on occasion be altered. If this is the case, you will be issued a new copy at the point of a new service purchase. If a new document is provided, you should only refer to the new document issued.

1|           Interpretation

1a| A reference to a statue or law-related rule is a reference to it as changed/added to the end or re-did/done/put into law. A reference to a law or law-related rule includes any subordinate laws (and law making) made under that statue or law related rule as changed/added to the end or re-did/done/put into law

1b| Any phrase introduced by the terms including, include, in particular or any almost the same expression, will be interpreted as explaining and will not limit the sense of the words of the terms.

1c| A reference to writing or written means a written form of communication but not fax or emails.

 

2| Basics of Contract

2a| The order of a service is an request by the proposed customer to purchase a service in accordance with the illustrated terms in this document.

2b|The order of a service shall only be accepted once the supplier issues written acceptance of the order. At this point on that date, the contract shall then be in existence.

2c|Descriptive materials, images , samples  or anything similar that has been issued by the supplier or within issued documentation, marketing materials or similar. Are issued for providing the customer with an indication to the idea of what service they are being supplied with. They do not, however have an impact in the contract.

2d| The terms illustrated during this document are solely applicable to the contract to the exclusion of the other terms that the client seeks to impose or incorporate, or that are understood by trade, custom, apply or course of dealing.

2e| Any quotation provided by the provider shall not represent as a suggestion and is only valid up to an amount of thirty days from the date provided.

3|Supply of Services

3a| The provider shall provide the services to the client in accordance with the Order of Service, Service Level Agreement and therefore the Service Schedule

3b| Unless the client serves a notice on the provider in accordance with clause 23 from the date being 24hours prior to when the Service Date to a date. Consulting in a shorter time frame could result in a cancellation charge.

3c| The provider shall use its reasonable endeavours to fulfil any performance dates per the Order however any such dates shall be estimates solely and time may invariably be the main purpose or be bigger than the essence for performance of the Services.

3d| The provider shall have the right to form any changes to the Services that are necessary to accommodates any applicable law or safety demand, or that don’t materially have an effect on the nature or quality of the Services, and therefore the provider shall send word the client in any such event.

3e| The provider warrants to the client that the Services are going to be provided using reasonable care and ability.

3f| wherever a further Service has been requested by the client, the provider shall provide the extra Service following written instruction and subject to payment in accordance with us.

3g| The client shall have 48  hours from the completion of the Services to tell the provider by notice in accordance with clause 23 within the event that the Services aren’t of satisfactory quality.

3h| In absence of any notice by the client in accordance with clause 3g, the Services are going to be deemed to have been delivered in sensible operating order and good condition.

3i| Following any notice by the client in accordance with clause 3g, the provider shall:

  1. decide to nottake any action to rectify the defect within the Services upon finding that the Services are of satisfactory quality in accordance with clause 3g; or
  2. performsuch works necessary to repair the Services inside an affordable period of time.
  3. Waste managementServices

    Please note that this clause four and clause five below shall solely apply for the supply of the Waste management Services.

    4a| The provider shall provide the Waste management Services as per the Service Schedule.

    4b| reciprocally for the availability of the Waste management Services, the Customer:

  4. shall pay the feesin accordance with clause eight, andany further empty, delivery, disposal, collection, transport or rental charge set out within the Service Level Agreement and also the Service Schedule;

    b. warrant that they need fittingly represented the Waste to the provider and have elect the acceptable European Waste Code to explain the Waste within the Service Schedule and/or Waste Transfer Note.

4c| The client herewith agrees to indemnify the provider for any and all losses incurred, irrespective of whether or not caused directly or indirectly, together with all losses, expenses and/or skilled prices incurred as a results of the Customer’s breach of any of the warranties contained in clause 4b.

4d| the availability of these Services shall begin on the Service Schedule Date and last for a minimum amount of twelve months thenceforth.

4e| Unless the client serves a notice on the provider in accordance with clause twenty from the date being six months when the Service Schedule Date to a date no later than 9 months after the Service Schedule Date, the Contract shall mechanically renew for a rolling amount of twelve months when ending of the Term.

4f| The provider shall not be liable for the clearing of any Waste that has not been hold on by the client in any of the Containers equipped by the provider (Loose Waste) or non-specified waste.

4g| Upon request by the client, the provider may clear up any Loose Waste from the Customer’s Premises subject to the payment of a further fee in accordance with clause 8d.

4h| The provider shall have the right to form any changes to the Services that are necessary to accommodate any applicable law or safety demand, or that don’t materially have an effect on the nature or quality of the Waste management Services, and therefore the provider shall advise the client in any such event.

 

  1. Containers

    5a| The providershall be liable forthe supply, collection, removal and replacement of the Containers as detailed within the Service Schedule.

    5b| Upon delivery of the Containers, the client shall be liable for inspecting the working order and condition of the Containers.

    5c| The client shall have 3 Business Days from delivery of the Containers to tell the provider by notice in accordance with clause twenty within the event that the Containers aren’t of satisfactory quality. For the aim of this clause, a container isn’t of satisfactory quality if affected by a significant defect that prevents the safe storage of Waste any minor and/or cosmetic defects shall not represent or be deemed to render a instrumentation as being of failing quality.

    5d| within the absence of any notice by the client in accordance with clause 5c, the Containers are going to be deemed to have been delivered in sensible operating order and condition.

    5e| Following any notice by the client in accordance with clause 5c, the provider shall:

  2. Decide to nottake any action to repair or replace the containerupon finding that the Containers are of satisfactory quality in accordance with clause 5c; or
  3. Replace the containerinsidea reasonable period of time or take reasonable steps to acquire a temporary resolution to make sure the safe management of Waste on the Customer’s Premises.

    6. Customer’s obligations

    6a| The client shall:

    a. make sure that the terms of the Service Order and any info it provides within the Specification are complete and accurate;

    b. co-operate with the provider in all matters regarding the Services.

    c. offer the provider, its workers, agents, consultants and subcontractors, with unrestricted and safe access to the Customer’s Premises, workplace accommodation and different facilities as fairly needed by the Supplier;

    d. provide the provider with such information and materials because the provider could reasonably require in order to provide the Services and make sure that such information is correct all told material respects;

    e. prepare the Customer’s Premises for the availability of the Services and/or Waste management Services;

    f. get and maintain all necessary licences, permissions and consents which can be needed before the date on that the Services and/or Waste management Services are to start;

    g. keep and maintain all materials, equipment, documents, Containers and different property of the provider at the Customer’s Premises in safe custody at its own risk, maintain the provider Materials in good condition until returned to the provider, and not dispose of or use the provider Materials apart from in accordance with the Supplier’s written directions or authorisation;

    h. A suggestion is to get applicable insurance protection for the provider Materials and make sure that the Supplier’s interest is noted in such insurance policies

    i. make sure that the Customer’s Premises is open and also so the Supplier’s time will not be wasted within the event that access to the Customer’s Premises is otherwise restricted;

    j. make sure that the fees are paid in accordance with clause 8;
    and in respect of the availability of Waste Services, the client shall also:

    k. keep the Containers safe while on the Customer’s Premises;

    l. make sure that the Containers are used just for the storage of Waste, as represented by the client in accordance with clause 4b(b) and as directed by the Supplier;

    m. keep the Containers clean and free from any defects or markings while on the Customer’s Premises guaranteeing that the Containers; do not remove any markings, logos, name or the other material possession of the provider which will be seen on the Containers;

  4. make sure thatthe Containers are respectable, accessible and otherwise prepared for assortment as per the Service Schedule.

    6b| additionally to paragraph 6a, the client shall be liable for guaranteeing the protection of all of the Supplier’s workers, agents, consultants and subcontractors while on the Customer’s Premises to hold out the Services and/or Waste management Services.

    6c| If the Supplier’s performance of any of its obligations underneath the Contract is prevented or delayed by any act or omission by the client or failure by the client to perform any relevant obligations contained in paragraph 6a or 6b;

    a. the provider shall while not limiting its alternative rights or remedies have authority to suspend performance of the Services until the client remedies the client Default, and to depend on the client Default to alleviate it from the performance of any of its obligations to the extent the client Default prevents or delays the Supplier’s performance of any of its obligations;

    b. the provider shall be entitled to remove any of the provider Materials from the Customer’s Premises;

    c. the provider shall not be responsible for any costs or losses sustained or incurred by the client arising directly or indirectly from the Supplier’s failure or delay to perform any of its obligations as explained in clause 7;

    d. the client shall be liable for paying a wasted service fee to the provider on demand by the Supplier; and

    e. the client shall reimburse the provider on demand for any other costs or losses sustained or incurred by the provider arising directly or indirectly from the client Default.

    7. Supplier’s Obligations

    7a| The provider shall:

    a. Accommodate all health and safety measures set by the client while on the Customer’s Premises, together, however not restricted to speed limits and access restrictions; and

    b. perform any reasonable manoeuvres needed to achieve access to the Customer’s Premises to provide the Services, subject to obtaining the Customer’s consent for the identical within the event of any specialist manoeuvres with very little space.

    7b| The provider warrants that the Services are going to be equipped to the client to a reasonable standard.

    7c| The guarantee given in clause 7b is subject to the very fact that the provider shall have no liability to the client in respect of any defect within the supply of the Services, Waste management Services, Containers or provided Materials that arise from fair wear and tear, wilful injury, negligence by the client, abnormal operating conditions, the Customer’s failure to follow any directions for storage and/or use given by the provider or alteration of the Containers or provided Materials without the written consent of the provider.

    7d| The provider shall owe no liability to the client in respect of clause 7b within the event that the fees await to be paid in accordance with clause 8.

    8. Charges and payment

Please note, you will be charge via the appropriate department based on what service you order from us. This will either be: European Waste Solutions, European Drainage Solutions or European Facilities Management.

8a| the fees for the Services shall be calculated in accordance with the Service Level Agreement.

8b| The provider reserves the authority to extend its Charges. The provider can provide the client written notice of any such increase before the works being administered. If such increase isn’t acceptable to the client, it shall give notice the provider in writing and therefore the provider shall have the authority while not limiting its other rights or remedies to terminate the Contract by written notice to the client.

8c| The provider shall invoice the client for any Services as per the terms of the Service Level Agreement.

8d| wherever a further Service has been administered in accordance with clause 3f, an additional; invoice are going to be raised by the provider for payment in arrears, within the total detailed in the Service Level Agreement.

8e| The client shall pay every invoice submitted by the provider as per the terms of the Service Level Agreement.

8f| All amounts owed by the client underneath the Contract are exclusive of amounts in respect of value added tax liable (VAT). wherever any taxable supply for VAT functions is formed underneath the Contract by the provider to the client, the client shall, on receipt of a legitimate VAT invoice from the provider, pay to the provider such further amounts in respect of VAT as are chargeable on the availability of the Services at the identical time as payment is due for the supply of the Services.

8g| If the client fails to form any payment because of the provider underneath the Contract by the maturity date for payment, then the client shall pay:

a. interest on the delinquent amount at the rate of 8 per cent per annum. Such interest shall accrue on a daily basis from the due date until the actual payment of the delinquent amount, whether or not before or after judgment. The client shall pay the interest along with the delinquent amount.

b. an administration fee of £25.00 for every overdue direct debit payment;

c. an administration fee of £6.00 charged to the Customer’s account for each letter, fax, call or statement sent to the client in a shot to get such payment; and

d. compensation in accordance with the Late Payment of economic Debts (Interest) Act 1998.

8h| The client shall pay any Cancellation Fee inside ten Business Days of the identical being due.

8i| The client shall pay all amounts due underneath the consent full without any set-off, counterclaim, deduction or withholding (except for any deduction or withholding needed by law). The provider could at any time, while not limiting its other rights or remedies, go off any amount owing to it by the client against any amount owed by the provider to the client.

8j| In the event that the client does not fulfil there obligation and / or the subcontractor on site deems it an unsafe environment due to the complacency of the customer the subcontract is entitled to charge full price and thus meaning we will charge full price to and not issue a refund. In the event the subcontractor does not charge in full, we will not charge in full either and issue you a part refund.

 

  1. Online payment

9a| European Solutions Group; European Waste Solutions; European Drainage Solutions & European Facilities Management accepts payment via stripe through our website. Our website is an intermediate which leads to the stripe payment platform. If you provide payment through this method you accepting the terms and conditions that they set out in conjunction with this document. 9b| If you do not accept, we have an alternative method of payment via our direct payment through Quickbooks. If you would prefer to pay via this alternative method, please contact us: 0151 286 1055 or info@eurowaste.net.

 

  1. Warranty

10a| European Solutions Group; European Waste Solutions; European Drainage Solutions & European Facilities Management will provide you with warranty details upon request. Specific works will come with warranty and some may not, please request this information if we forget to provide it. Please note that warranty is subject also to our suppliers policy.

 

  1. Limitation of liability

    11a| Nothing within theContract shall limit or exclude the Supplier’s liability for:

    a. death or personal injury caused by its negligence, or the negligence of its workers, agents or subcontractors;

    b. fraud or deceitfulmisrepresentation; or

    c. breach of the terms understood by section 2 of the supply of goods and Services Act 1982 (title and quiet possession) or any other liability that can’t be restricted or excluded by applicable law.

    11b| Subject to clause 11a, the provider shall not be susceptible to the client, whether or not in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising underneath or in reference to the Contract for:

    a. loss of profits;

    b. loss of sales or business;

    c. loss of agreements or contracts;

    d. loss of anticipated savings;

    e. loss of use or corruption of software package, knowledge or information;

    f. loss of injury to goodwill; and

    g. any indirect or of import loss.

    11c| Subject to clause 11a, the Supplier’s total liability to the client, whether or not in contract, tort (including negligence), breach of statutory duty, or otherwise, arising underneath or in reference to the Contract shall be restricted to the full Charges paid under the Contract.

11d| The terms understood by sections three to five of the availability of products and Services Act 1982 are, to the fullest extent allowable by law, excluded from the Contract.

11e| This clause 11 shall survive termination of the Contract.

 

  1. Theft / Loss

12a| In the event of your possession going missing or being stolen, European Solutions Group; European Waste Solutions; European Drainage Solutions & European Facilities Management will work along side you to assist you in retrieving, contacting and will participate with the relevant authorities if our subcontractors are suspected to have taken your possession. European Solutions Group; European Waste Solutions; European Drainage Solutions & European Facilities Management will not however pay for any loss of property.

12b| We endeavour to have a close working relationship with our subcontractors and ensure they are legal with the relevant insurances. This is however does not mean we can prejudge such an event happening. You must ensure that you prevent this as much as possible by doing the following: remove any valuables within the areas that work and in the path of the subcontractors. This will limit the risk of opportunistic theft. You also must ensure that you place any of your valuables out of sight and in a safe location. Do not leave any cash, jewellery or anything you deem valuable laying around, if you fail to do this you are significantly increasing the likelihood of theft or loss.

 

 

 

  1. Injuries

13a| European Solutions Group; European Waste Solutions; European Drainage Solutions & European Facilities Management accept no responsibility for any injuries that may occur during any works carried out.

13b| European Solutions Group; European Waste Solutions; European Drainage Solutions & European Facilities Management are a broker who finds sub-contractors to carry out requested works. Any incidences that cause any sort of injury whatsoever is not our responsibility and therefore will not pay, refund or compensate for any injury.

13c| European Solutions Group; European Waste Solutions; European Drainage Solutions & European Facilities Management will endeavour to ensure that our subcontractors provide a efficient, safe and minimal intrusive service to prevent any unfortunate incidences. In the unfortunate event that any injuries does occur due to subcontractors not carrying out appropriate precautions, can provide assistance in communicating with the subcontractor, but  will not offer any financial or any other sort of compensation.

13d|European Solutions Group; European Waste Solutions; European Drainage Solutions & European Facilities Management ensure all our subcontractors are compliant to legal legislation and take out health and safety precaution when carrying out works to prevent injury.

13c|European Solutions Group; European Waste Solutions; European Drainage Solutions & European Facilities Management try to make sure all subcontractors have the relevant insurance required to work on site and are all aware of the health and safety precautions to take on site, as well as to care for the site they are working on.

13d| To minimise the risk of injury to yourself or anybody else onsite / in your property you must ensure that you inform everyone present on site when the subcontractors arrive on site. This is so that everyone on site can take caution when moving around. When moving around you should be courteous and cautious to subcontractors moving around as they could be moving or carrying equipment or materials. This could prevent accidents and potential injuries. In addition you should do everything you can to remove anything that is within the path of sub-contractors and yourself. This is due to the equipment that is often required to complete works. You must remove lose item / Non fixed items: leading to, next to, and near the location of where works are going to be carried out. This will reduce the risk of any trip hazards.

13e| Subcontractor will also use a reasonable amount of effort in most cases (depending on the subcontractor’s scope of works) will carry out a brief tidy/clean up before leaving site. You must carry out a thorough check and clean of the areas the subcontractors was in as the potential of screws, dust or any kind of left over tools, material or dirt is highly likely to be left behind. You must ensure to carry out a thorough clean and check to make sure that all left overs are removed. This will prevent any injury that may be caused.

 

 

  1. Damage, Repairs & Replacement

14a| European Solutions Group; European Waste Solutions; European Drainage Solutions & European Facilities Management will endeavour to ensure that our subcontractors provide a efficient, safe and minimal intrusive service to prevent any unfortunate incidences. In the unfortunate event that any damage does occur, we can provide assistance in communicating with the subcontractor, but will not offer any financial or any other sort of compensation for repairs or replacement.

14b| To minimise the risk to damage to your property you must ensure that you do everything you can to remove anything that is within the path of sub-contractors. This is due to the equipment that is often required to complete works. You must remove lose item / Non fixed items: leading to, next to, and near the location of where works are going to be carried out. This will reduce the risk of any of your property being damaged.

14c| Failure to comply with this can lead to unnecessary damage, refusal of any form of compensation from the supplier or even the supplier refusing to carryout works. In the event of this clause 8j will come into effect.

 

  1. Events outside our management

    15a| we are going tonot be liable or liable forany failure to perform, or delay in performance of, any of our obligations underneath a Contract that’s caused by an occurrence Outside Our management.

    15b| If an occurrence Outside Our management takes place that affects the performance of our obligations underneath a Contract:

    a. we are going to contact you as shortly as reasonably possible to advise you; and

    b. our obligations underneath a Contract are going to be suspended and therefore the time for performance of our obligations will be extended for the period of the Event Outside Our management. wherever the Event Outside Our management affects our delivery of Services to you, we are going to prepare a new delivery date with you when the Event Outside Our management is over.

    16. Confidentiality

    16a| every party undertakes that it shall not at any time and for a amount of 5 years when termination of the Contract, disclose to any individual any info regarding the business, affairs, customers, shoppers or suppliers of the opposite party (Confidential Information), except as allowable by clause 16b.

    16b| every party could disclose the opposite party’s Confidential Information:

    a. to its workers, officers, representatives, subcontractors or advisers who must understand such information for the needs of completing the party’s obligations underneath the Contract. every party shall make sure that its workers, officers, representatives, subcontractors or advisers to whom it discloses the opposite party’s hint accommodates this clause 16; and

    b. as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority.

    16c| Neither party shall use the opposite party’s confidential information for any purpose apart from to perform its obligations underneath the Contract.

  2. Data Storage & Analytics

17a. We use Google Analytics to monitor users on our website. This includes the number of vistors, location and the amount of time a user spends on our site. This data is kept for 24 months. Our analytics does not hold any sensitive or personal information such as Names, addresses, contact details or anything similar.

17b. We share are information only internally and to Stripe (our payment provided). We do not share data with anybody else. Google Analytics does not collect personal information either and we do not share the amount of vistors to our website.

17c. We only collect personal data when you contact us. We require Your Name, email or phone to contact you by. We also require and Log your address, this is due to us needing it to find local suppliers in your area otherwise we would not be able to provide you with our services. We also collect your comments so we can note what the job is to do. We keep this information in our database, if you would like your details removing we will oblige. We keep this information for 7 years.

17d. If you have an account on this site, or have left comments, you can request to receive an exported file of the personal data we hold about you, including any data you have provided to us. You can also request that we erase any personal data we hold about you. This does not include any data we are obliged to keep for administrative, legal, or security purposes.

17e. We do not send out any information, we only keep the data internally. Refer to Stripes Privacy Policy for information on where they send your data.

18. Cookies

18a| If you leave a comment on our site you may opt-in to saving your name, email address and website in cookies. These are for your convenience so that you do not have to fill in your details again when you leave another comment. These cookies will last for one year.

18b| If you have an account and you log in to this site, we will set a temporary cookie to determine if your browser accepts cookies. This cookie contains no personal data and is discarded when you close your browser.

18c| When you log in, we will also set up several cookies to save your login information and your screen display choices. Login cookies last for two days, and screen options cookies last for a year. If you select “Remember Me”, your login will persist for two weeks. If you log out of your account, the login cookies will be removed.

18d| If you edit or publish an article, an additional cookie will be saved in your browser. This cookie includes no personal data and simply indicates the post ID of the article you just edited. It expires after 1 day.

 

  1. Entire agreement

    19a| This agreement constitutes the wholeagreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, illustrations and understandings between them, whether or written or oral, regardingits subject material.
    19b| every party agrees that it shall have no remedies in respect of any statement, representation, assurance or guarantee (whether created innocently or negligently) that’s not commenced during this agreement. every party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent statement based on any statement in this agreement.

    20. Variation

20a| No variation of the Contract or Services shall be effective unless it’s in writing.

20b| A Waste Transfer Note are going to be dead by the parties either:

a. on every collection;

b. there’s a material change within the waste being contained in the Containers; or

c. each parties conform to make written changes to the Service.

21. Waiver

21a| A release of any right or remedy is just effective if given in writing and shall not be deemed a waiver of any subsequent breach or default. A delay or failure to exercise, or the one or partial exercise of, any right or remedy shall not:

a. waive that or the other right or remedy; or

b. forestall or prohibit the additional exercise of that or the other right or remedy.

22. Severance

22a| If any provision or part-provision of the Contract is or becomes invalid, illegal or unenforceable, it shall be deemed changed to the minimum extent necessary to make it valid, legal and enforceable. If such modification isn’t attainable, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision underneath this clause shall not have an effect on the validity and enforceability of the remainder of the Contract.

23. Notices

23a| Any notice or alternative communication given to a party underneath or in reference to the Contract shall be in writing, addressed to that party at its registered workplace or such other address as that party could have specific to the opposite party in writing in accordance with this clause, and shall be delivered in person, or sent by pre-paid top quality post or alternative next operating day delivery service or commercial courier, or sent by email to either of the subsequent email address: info@europeansolutionsgroup.com

23c| The provisions of this clause shall not apply to the service of any proceedings or different documents in any action at law.

24. Contact Us
24a| If the client has any complaints concerning any of the Services provided by the provider, the client ought to send word the provider in accordance with clause 23a or as an alternative contact the provider by telephone on 0151 286 1055 or by email at info@europeansolutionsgroup.com

25. Third parties

25a| nobody apart from a party to the Contract shall have any right to enforce any of its terms.

26. Governing law and jurisdiction

26a| The Contract, and any dispute or claim (including non-contractual disputes or claims) arising out of or in reference to it or its subject material or formation shall be ruled by, and construed in accordance with the law of England and Wales.

26b| every party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in reference to the Contract or its subject material or formation.

27. Definitions

Additional Service: shall mean the availability of any of the Services that the client has not yet entered into a Contract with the provider for.

Business Day: a day other than a Saturday, Sunday or public holiday in England when banks in London are open for business.

Charges: the charges payable by the customer for the supply of the Services and/or Waste management Services in accordance with the Service Level Agreement.

Cancellation Fee: the fee of £15.00 plus vat inside of 24hour grace period.

Commencement Date: has the meaning set out in clause 2b.

Containers: shall have the meaning set out in clause 5.

Contract: the contract between the provider and the client for the supply of Services as described in the Service Order and in accordance with these terms.

Control: shall be as outlined in section 1124 of the Corporation Tax Act 2010, and the expression change of management shall be construed accordingly.

Customer: the person or business who purchases Services from the provider.

Customer Default: has the means began in clause 6.

Customer’s Premises: mean the address, website or different location elaborate within the Order wherever the provider has been instructed to provide the Services to the client.

Event Outside Our Control: any act or event beyond our reasonable control, including without limitation strikes, lock-outs or different industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or different natural disaster, or failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.

Intellectual Property Rights: patents, rights to inventions, copyright and related rights, trade marks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.

Order: the Customer’s order for Services as set out in the Supplier’s order forms.

Services: the services supplied by the supplier to the client.

Service Level Agreement: means the agreement sent to the client by the provider which details the nature of the Services which the provider is instructed to provide, together with the fees.

Service Schedule: means that the schedule contained inside the Service Level Agreement that details the time and frequency for the supply of the Services.

Service Schedule Date: the date for the commencement of the supply of the Services as confirmed in writing by the provider.

Supplier Materials: has the meaning set out in clause 6a(g).

Term: means that the mounted period that the client can provide the Services s to the client In accordance with clauses 3b and 4d.

Waste: shall mean any litter, refuse, rubbish, left over materials or any other substance that has been discarded by the client.

Waste management Services: shall mean those waste control and management services offered by the provider including but not limited to the supply of waste bins, food bins, waste compactors, glass crushers, fly tipping removal, general site maintenance and litter picking and void property cleaning.

Waste Transfer Note: a note detailing the nature of the Waste and frequency of the required collections of the Containers as per clause 5.
